Notice: This Affiliate Service Agreement (the "Agreement") is made by and between SUI CHENG LIMITED("SUICHENG" ,"Us", "We", "Our") and you, as an Affiliate utilizing the SUICHENG service ("You", "Your", "Affiliate").If you use the services of this website(Audew.com), you are deemed to have no objection to the terms of this agreement. If you have any objection, please stop using it immediately. SUI CHENG LIMITED reserves the right to terminate this agreement and the partnership of any affiliate immediately in our sole discretion if you disobey any of it’s terms and conditions, at the same time, your referral account will be suspended immediately and all of your commission will be eliminated!

The following agreement is summarized as follows:

You cannot use any methods or techniques for stealing others' referral links or orders of AUDEW.COM Affiliate Program.

You may place our banners anywhere on your site as you see fit, or within non-spam emails.

You may place banners or links within your newsletters, in content of your website, or within other web related content.

Libelous, defamatory, obscene, terrorist, racist, sexually harassing or pornographic, alcohol, tobacco, or gambling/lottery or other related sites are not allowed. Any contents or materials contained or available through your website shall not violate any civil or criminal laws, including those regulating the use and distribution of content on the internet.

All statistics are collected and calculated by AUDEW.COM, and will be the only valid stats used for determining commissions.

As an affiliate, you can only have one account and list multiple domains inthisaccount. Self-referrals for affiliate accounts are strictly prohibited.

You cannot SPAM or send email to lists or groups that you are not allowed, we WILL terminate your account if this occurs, and no commission or rewards will be paid.

You cannot employ, use or place any web browser add-ons, tool bars or pop-ups on your website.

You cannot engineer any website containing a Qualifying Link in such a manner that pulls Internet traffic away from AUDEW.COM.

You may not attempt to modify or alter our Site in any way.

You cannot use our Trademarks in the site page or profile name.

You cannot use the AUDEW logo as the profile, header or site logo.

You cannot communicate or act as a representative for AUDEW.

You cannot use our trademarks,industrial designs, patents or any descriptions, pictures, images, videos beyond the purpose of this agreement without our written consent.

Without the prior written approval of AUDEW.COM,you can not use any Trademark, or any Licensed Material in an advertisement that is not created or provided by AUDEW.COM in any way that might suggest or imply or mislead or is likely to mislead a visitor to your website into believing that AUDEW.COM was the creator or sponsor of such advertisement.

You cannot bid on our Trademarks at any website that provides search engine services and that results in driving traffic to any website, other than our Site, including your website.

Fraud is defined as any action that intentionally attempts to create sales, leads, or click-throughs using robots, frames, iframes, scripts, or manually "refreshing" of pages, for the sole purpose of creating commissions. ANY ATTEMPTED FRAUD OR FRAUD WILL RESULT IN ACCOUNT TERMINATION AND VOIDED COMMISSIONS.

AUDEW.COM will be responsible for all aspects of order processing and fulfillment of orders placed by customers who follow your Qualifying Links to the AUDEW.COM Site in accordance with applicable legal requirements.

AUDEW.COM reserves the right to reject orders that do not comply with any reasonable requirements that we periodically may establish. Among other things, we will prepare orders forms; process payments, cancellations, and returns; and handle customer service. Through the AUDEW In-House Affiliate Program, you have the ability to review reports summarizing this sales activity.

To permit accurate tracking, reporting, and fee accrual, you must ensure that your Qualifying Links are properly formatted. AUDEW.COM will not be responsible for improperly formatted links regardless of whether you have made amendments to the code or not. In addition, we are unable to track or provide credit for sales from customers that are referred to us with browsers that do not have their cookies setting enabled.

AUDEW.COM reserves the right to terminate this agreement and the partnership of any affiliate immediately in our sole discretion if you disobey any of it’s terms and conditions, at the same time, you will get no commission.

CHANGES TO THE AGREEMENT

AUDEW.COM reserves the right to change, modify, add or remove portions of this Agreement at any time and may add to, change, suspend or discontinue any aspect of the Service at any time by posting a change notice or a new agreement on our Site. We will also make commercially reasonable efforts to notify you of such changes prior to or upon implementation.It is your responsibility to read the notice and the corresponding changes. Your continued use of the Service after we make changes will constitute your acceptance of such modifications.

EMAIL CONTACT

AUDEW.COM reserves the right to send e-mail to You for the purposes of informing you of applicable changes or additions to the Service or any AUDEW.COM related products and services.

FEES AND PAYMENT

You will be entitled to draw out your commission according to the procedures set out by AUDEW.

AUDEW may pay the promotion fees to you in other ways as agreed by both parties.

All statistics are collected and calculated by AUDEW.COM, and will be the only valid stats used for determining commissions.AUDEW may decline transactions that are the result of a malicious fraud event (as defined hereinafter: "Malicious Fraud Event" shall mean events in which the AUDEW offer requirements were satisfied by one of the following: (a) by using automated vehicles that simulate actual users, such as robot scripts (b) using IP and locations based fraud (c) using fake or stolen credit cards（d）by using other frauds. AUDEW is entitled to refuse to pay for corresponding false data and you will not receive any commission.

INTELLECTUAL PROPERTY

"AUDEW"and related icons and logos are registered trademarks or trademarks or service marks of AUDEW.COM,and AUDEW unconditionally enjoys all intellectual property rights to the services and promotion materials involved in the agreement.

These requirements apply to your use of AUDEW.COM and other trademarks and service marks belonging to SUICHENG LIMITED, other related entities (the "Trademarks") in content that has been approved by us,and you sahll abide by the following:

1. You may use the Trademarks only for purposes expressly authorized by us.

2. You may not modify the Trademarks in any manner. For example, you may not change the proportion, color, or font of the Trademarks.

3. You may not display the Trademarks in any manner that implies endorsement of your website or business by AUDEW.COM beyond your involvement in the Program.

4. You may not use the Trademarks to disparage AUDEW.COM, its products or services, or in a manner which, in our reasonable judgment, may diminish or otherwise damage our good will in the Trademarks.

5. You may place the AUDEW.COM name or logo adjacent to competitive brands, subject to the requirements of this Agreement, or adjacent to material and websites that will not create any negative impression of  AUDEW.

6. You acknowledge that all rights to the Trademarks are our exclusive property and all goodwill generated through your use of the Trademarks will inure to our benefit.

7. YOU MAY NOT use the “AUDEW” or “,AUDEW.COM”, or any trademark names which variations or misspelling thereof, in any manner including but not limited to Keyword Bidding on Search Engines;asserting themin metatags, hidden text,source code,Domain Name or Any Other Part of Your Universal Record Locator or to direct traffic to any website other than our website.

8. You may not bid on any keyword or on any Pay per Click Search Engines (PPCSEs) where such keyword is one of our Trademarks or any variation or misspelling of one of our Trademarks (listed in section13). Further, you may not bid on any word or term that is confusingly similar to any of our Trademarks standing alone.

9. You may not employ any "AUDEW.COM" domains or typosquatters redirecting web traffic to your website. A typo squatter for "AUDEW.COM" domain is any domain that amounts to misspellings of any registered or unregistered Trademarks.

10. You may not bid on any keyword or on any PPCSEs that is one of our competitors' trademarks (or a derivation of a competitor's trademark), or any other word or term that is likely to cause confusion regarding its affiliation with the competitor. Examples of these keywords include, but are not limited to: "Lightinthebox", "Amazon", "Aliexpress", "tinydeal", "dx", "GearBest", "focalprice", "Geekbuying", and "dinodirect".

11. You may not bid on restricted manufacturer brand terms or any derivatives thereof that are likely to cause confusion regarding its affiliation with AUDEW.COM, itsaffiliatesor you, in any paid search.

12. AUDEW.COM may, in its sole discretion, terminate you or withhold payment of your commissions for the days that we determine that you were bidding in violation of the keyword bidding requirements above.

13. The list below sets forth examples of impermissible keywords, "AUDEW.COM" domains, and variations of Trademarks that you may not bid on. The list is for example purposes only and is not a complete list of prohibited words which infringe a Trademark, and therefore violate a term of this Agreement.

SEARCH ADS FORBIDDENCE

Please note that any kinds of search ads and remarketing ads are not allowed to run.

You can promote your AUDEW affiliate link anywhere on the internet except for search engines like Google Adwords, Bing Ads, Facebook Ads, Naver Ads, Yahoo Ads, Yandex Ads, etc.

These platforms are prohibited for your affiliate promotion as they conflict with our own campaigns.

If affiliates were found to be using these channels to promote their affiliate links, they will receive a warning email.

You will receive a warning email from [email protected] requesting you to stop the violation, then your referral code will set to be invalid thus no commission will be given. if you do not deal with it ASAP, you will receive our warning email again, and your referral account will be suspended immediately and all of your commission will be eliminated!

If you have stopped the violation campaign, then please reply to us with a screenshot as the evidence.

If there is a second-time violation, your account will be deleted immediately and all the affiliate points will be canceled.


PRIVACY& CONFIDENTIALITY POLICY

You shall not disclose or make public to any third party the Confidential Information of AUDEW, including but not limited to, the material information, trade secrets, technical secrets, trademark and other Confidential Information of AUDEW that you understands or has access to as a result of performing this agreement.

AUDEW.COM respects the privacy of its affiliates and will not disclose personal information to third parties without the express permission of You and Your company.

COMMISSION COOKIES TRACKING

AUDEW Affiliate Program has a tracking system for your AUDEW promotion link(with your own referrer code), however, our primary tracking method is cookie-based. But consumers can delete cookies with or without consciousness, some have the software installed that removes cookies periodically. So inevitably, sometimes your referrer code might lose track during your customer' placing orders, situations like:

-Their browser or application invalidate referrer cookies;

-There are other similar cookies in their browser or application that cause wrongly recorded;

-Through your affiliate links, they do not place the orders within 15 days(the referrer code only valid for 15 days);

-They click elsewhere before paying the orders, causing referral code being changed(such as google ads or email ads);

-The customers’ payment account is the same to your own payment account

PARTICIPATION

THE FOLLOWING TYPES OF SITES ARE NOT ALLOWED TO PARTICIPATE IN AUDEW.COM: ADULT SITES, SITES THAT DISPLAY ADULT BANNERS, SITES THAT PROMOTE VIOLENCE, BIGOTRY, OR HATRED. SITES THAT PROMOTE ILLEGAL ACTIVITY, including but not limited to WAREZ, CRACKING, and HACKING SITES.

You shall provide AUDEW.COM with accurate, complete and updated registration information. You may not select the name of another person with the intent to impersonate that person or deceive members or other users as to Your true identity.

You agree that AUDEW.COM may rely on any data, notice, instruction or request furnished to AUDEW.COM by You which is reasonably believed by AUDEW.COM to be genuine and to have been sent or presented by a person reasonably believed by AUDEW.COM to be authorized to act on Your behalf. You shall notify AUDEW.COM by e-mail at [email protected] of any known or suspected unauthorized uses of Your Account, or any known or suspected breach of security, including loss, theft or unauthorized disclosure of Your username and password. You shall be responsible for maintaining the confidentiality of Your username and password and You are responsible for all usage and activity on Your Account, including use of your account by a third party authorized by You. Any fraudulent, abusive or otherwise illegal activity may be grounds for termination by AUDEW.COM and referral to the appropriate law enforcement agencies.

WARRANTIES AND OBLIGATIONS

You warranty to AUDEW.COM that all content You provide to the Service is solely owned by You or with the express authorization of the company You represent, you promise that all those contents uploaded or provided by you will not infringe upon any rights of any other individual or organization (including, without limitation, intellectual property rights) and will not contain any defamatory, libelous, unlawful or otherwise objectionable information. You shall not provide, promote, distribute, place or otherwise publish as an Affiliate of the Service any content, or Web site that includes such contents mentioned above.

You represent and warrant to AUDEW.COM that you have all the necessary rights and authority to enter into this Agreement and to fulfill all the obligations in this Agreement,you will comply with all provisions of this Agreement.

As AUDEW.COM may not review all information provided by You, You shall remain solely responsible for Your content and Web site. As an Affiliate, You may not artificially inflate traffic counts to AUDEW.COM using any device, program, robot or other means, including but not limited to JavaScript pop-up windows and redirects. You may not click on Your own banners and/or links to AUDEW.COM.

Links may not be placed in newsgroups, unsolicited e-mail, ICQ, banner networks, counters, chatrooms or guestbooks. Any Link placed must be done with the intention of delivering valid sales, leads, or clicks to AUDEW.COM for that Link and shall not misleading to any Visitor.

AUDEW.COM RESERVES THE RIGHT TO DEEM ANY SITE INAPPROPRIATE AND TERMINATE THE SITE AS A MEMBER OF AUDEW Affiliate Program. If You are terminated from the Service, AUDEW.COM has the right to withhold commission or rewards You earned within the Service.

You shall warrant that services or materials provided by you (including but not limited to advertising materials, photos, portraits, etc.) do not contain any of the followings:

1.The contents that are deemed as reactionary, defamatory, pornographic, obscene, defamatory, illegal or irregular in laws, regulations, administrative rules and industrial standards in China or the regions where the contents are placed;

2.The contents that infringe intellectual property rights or other rights of any third party (including but not limited to copyright, patent, trademark, trade secret and technical secret, etc.);

3.The contents that infringe public image or privacy of any third party;

4.The contents that references to sex, violence, or any anti-human, anti-social elements;

5. Other inappropriate contents.

COMPENSATION

If you breaches the obligations set forth in the agreement, AUDEW has the right to refuse to pay any fees , and request you to bear all the responsibilities and compensate AUDEW for all the losses (including but not limited to the other party's loss compensation, fine and any related costs and expenses, including public relations fees, transportation fees, legal costs, attorney's fees and other reasonable expenses).

LIMITED LIABILITY

We make no express or implied warranties or representations with respect to the Program or any products sold through the Program (including, without limitation, warranties of fitness,merchantability, non-infringement, or any implied warranties arising out of a course of performance, dealing, or trade usage). In addition, we make no representation that the operation of our Site will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors; however, we will make commercially reasonable efforts to correct errors or interruptions promptly.

You indemnify and keep indemnified AUDEW.COM and its affiliates,its current and former officers, directors, employees, assignors, successors, parents, subsidiaries, representatives, and assignees, and each of them (collectively, the "Indemnified Parties") against any claims, losses or damage and hold indemnified parties harmless from and against any and all loss, cost, damage, claim, liability, or expense, including reasonable attorney fees and costs, in any way arising from or related to (a)your use of the services. (b) any intellectual property infringement claim or other claim relating to the contents or materials you provided.

In any event, AUDEW's total liability to you, or any third party claimant in respect of any losses arising under or in connection with this Agreement , whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall in no circumstances exceed an amount equal to the total amounts paid by AUDEW to you as set forth herein.

DISPUTE SETTLEMENT

This Agreement will be governed by and construed in accordance with the laws of Hong Kong, without regard to or application of conflicts of law rules or principles. Any dispute, controversy, or claim shall be resolved through negotiation to the extent possible. In the event the Parties fail to resolve any dispute arising hereunder through negotiation, each party shall submit to the exclusive jurisdiction of the courts of Hong Kong. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and enforceable against the parties and their respective successors and assigns. Our failure or agreement not to enforce your strict performance of any provision of this Agreement in a given instance will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.

MISCELLANEOUS

In the event of force majeure, both parties may suspend the performance of their obligations hereunder within the scope and duration of the force majeure. The party claiming to be affected by the force majeure shall notify the other party within fifteen (15) days after the occurrence of the force majeure, attach documentary evidence of the force majeure, and minimize the impact of the force majeure at the same time. After elimination of the force majeure, both parties shall continue to perform this Contract or negotiate a new performance plan.
